Our client is an innovative biopharmaceutical company committed to discovering, developing and commercializing small-molecule and protein therapeutics for large-market and orphan indications targeting inflammation, immunologic diseases and cancers. Responsibilities
Using independent judgment, draft standard agreements based on the Company’s templates, including non-disclosure agreements, master service agreements, consulting agreements, material transfer agreements, SaaS agreements and related amendments and appendices, customizing agreement templates as needed
Review legal provisions in vendor service terms, proposals and statements of work, including those related to scientific and laboratory services and clinical trials
Using independent judgment, review proposed agreements from third parties and revisions of agreements from third parties, escalating as necessary for review by Company’s attorneys
Assist the Company’s attorneys with updating agreement templates and alternate clause library
Provide guidance to Company stakeholders on corporate contracting processes and fallback negotiating positions established for routine contract provisions
Review agreements to provide information to the Company’s attorneys and other Company staff related to agreement administration, including milestone requirements and reporting obligations; draft contract-related notices and other correspondence.
Works with paralegal and attorney colleagues to input contracts and contract provisions into contract lifecycle management (CLM) system. Check entries for accuracy and completeness.
Work with material that is generally of a critical or confidential nature.
Interact with Company employees at all organizational levels to gather and synthesize information.
Prepare, edit and proof documents, reports and presentations.
Education, Experience, Skills & Knowledge:
AA degree or paralegal certificate and a minimum of 10 years of legal contract drafting and negotiation experience, OR BA/BS degree and a minimum of 5 years of legal contract drafting and negotiation, OR equivalent combination of education and work experience
Strong computer skills required in applications used in general office settings including word processing, spreadsheet, data base management, presentation software and Internet search engines.
CLM system experience a plus
Strong organizational skills and attention to detail; ability to spot issues and problematic contract provisions
Demonstrated ability to prioritize and handle multiple tasks and projects concurrently in a fast-paced environment
Must be capable of working with limited supervision, exercising independent judgment; escalating issues to Company’s attorneys when appropriate.
Excellent verbal and written communication skills.

Compensation and Benefits: Our client offers a competitive total compensation package. Compensation Range for the Senior Paralegal is $100,000 - $135,000 per year. Compensation level is based on knowledge, skills, education, and experience relevant to the role. Employees are offered medical, dental, vision and life insurance and a 401k plan with a company match. Employees accrue three weeks of vacation and 80 hours of sick time on an annual basis and receive twelve paid holidays throughout the calendar year.
